1. Introduction to the Sweepstakes. NO PAYMENT OR PURCHASE OF ANY KIND IS REQUIRED TO ENTER THE SWEEPSTAKES. No purchase of any kind will affect or increase your chance of winning the Sweepstakes. The Sweepstakes is void where prohibited by law, and the Winner is subject to the satisfaction of the age restrictions in the jurisdiction of the participating location of Sponsor's. Your entry and participation in the Sweepstakes are subject to these Sweepstakes Rules. By entering the Sweepstakes, you agree to these Sweepstakes Rules. If you do not agree to these Sweepstakes Rules, you must: (a) not enter the Sweepstakes; and (b) notify the Sponsor via email. You are not eligible for the Sweepstakes nor for the possibility of winning the Prize (as defined later) if you do not agree to these Sweepstakes Rules.

2. Who is eligible for the Sweepstakes? You must be: (a) at least the age of majority in the jurisdiction of the participating location of Sponsor; (b) at least the lawful age to purchase consumer fireworks devices and/or regulated novelty devices in the jurisdiction of the participating location of Sponsor's; (c) a resident of the United States of America; and (d) physically present, in-person, at one of the participating locations of Sponsor’s to enter the Sweepstakes. Each entrant is limited to one (1) entry per person at each participating location of Sponsor’s. Notwithstanding the foregoing, no director, officer, or employee of the Sponsor, nor any director, officer, or employee of one of the Sponsor’s subsidiaries is eligible for the Sweepstakes. The "immediate family members" of a director, officer, or employee of the Sponsor, or of a director, officer, or employee of one of the Sponsor’s subsidiaries are not eligible for the Sweepstakes. “Immediate family members” means children, parents, siblings, or spouses (including, any ex-or step-relationships) for purposes of these Sweepstakes Rules. Any breach or violation these Sweepstakes Rules will automatically render you ineligible for the Sweepstakes and will automatically render you ineligible for the possibility of winning the Prize.

3. How to enter the Sweepstakes? To enter the Sweepstakes, you must scan the Quick Response (QR) code at one (1) of the participating locations of the Sponsor's or visit [insert] and then, in either instance, follow the enrollment instructions. At a minimum, you must enter your phone number in order to be entered into the Sweepstakes. The participating locations are Sponsor’s retail stores or Sponsor’s stands-or-tents which have these Sweepstakes Rules posted in a conspicuous place within the participating retail store or within the participating stand-or-tent. BY ENTERING THE SWEEPSTAKES, YOU CONSENT TO RECEIVE ADVERTISING, MARKETING, AND OTHER PROMOTIONAL MATERIALS FROM SPONSOR, OR CERTAIN SUBSIDIARIES OF SPONSOR, INCLUDING, BUT NOT LIMITED TO, EMAILS AND TEXT MESSAGES.

4. What are the odds of winning the Sweepstakes? The odds of winning the Sweepstakes are entirely dependent on the number of eligible participants who enter the Sweepstakes. The odds are not fixed and will vary from time-to-time, including, variability based upon the number of eligible participants in the Sweepstakes.

5. How long are the Sweepstakes? The Sweepstakes is open from [12:00] [a.m.] Central Time [May] [1st], 2026 until [11:00] [p.m.] Central Time on [July] [3rd], 2026. No entries are accepted before-or-after this time period. No early-or-late entries will be considered in determining the winner of the Sweepstakes. The Sponsor reserves the right to discontinue, end, or suspended the Sweepstakes for any reason within the Sponsor's sole and absolute discretion; provided, that, any discontinuance, end, or suspension of the Sweepstakes will be announced on the Sponsor’s website: https://www.tntfireworks.com.

6. How does the Sponsor select the winner of the Sweepstakes? There can be only (1) winner (the "Winner") of the Sweepstakes for each participating location of the Sponsor's. The Winner will be randomly selected from the list of eligible participants. The Winner will be notified either by phone or via email, at either the phone number or the email address provided on their entry form. The Winner has seven (7) calendar days to accept the Prize (as defined later), in writing, from the Sponsor. If the Winner does not accept, delays, or fails to respond within this time period, another individual will be randomly selected from the list of eligible participants as the “Winner”. The Sponsor is not responsible for an email to the Winner being captured by any junk or spam filter. It is every entrant’s responsibility to check their emails, including, any junk or spam filters, to determine whether there are any emails from the Sponsor. The Winner may be published on the Sponsor’s social media pages. You may also obtain the name of the Winner by sending a request, in writing, with a postage prepaid and self-addressed envelope to: Attn: Creative and Digital Media Department, American Promotional Events, Inc. 4003 Helton Drive, Florence, Alabama 35630.

7. What is the prize for winning the Sweepstakes? The prize (the "Prize") for winning the sweepstakes is an All American Assortment of consumer fireworks devices and/or deregulated novelty devices, or an assortment of comparable retail value in the event the All American Assortment is not available at the participating location of the Sponsor. The exact iteration of the Prize depends on the laws, ordinances, regulations, and rules applicable to the participating location of the Sponsor, since the Prize can only contain contents that are lawful for retail sale from the participating location of the Sponsor. The Prize is non-transferable and is not redeemable for cash or other renumeration from the Sponsor. The Winner must pick-up the Prize in-person from the Sponsor and present a government-issued identification (with a photo) that matches the name of the Winner. The Winner must pick-up the Prize from one of the offices of the Sponsor, the participating location of the Sponsor, or at another location that is mutually agreed upon between the Sponsor and the Winner. The Winner is exclusively and solely responsible for all costs and expenses associated with traveling to-and-from picking up the Prize. The Sponsor does not offer any reimbursements of those costs or expenses to the Winner.

8. Taxes. The Winner is exclusively and solely responsible for any and all taxes, whether federal, foreign, state, tribal, or local, that are assessed, imposed, or levied on the Prize. The Winner is exclusively and solely responsible for reporting the Prize on their personal tax returns (as appropriate) and for paying all taxes (when due) applicable to the Prize, to the appropriate taxing authorities. The Winner may be required to provide the Sponsor with a completed and signed Form W-9 in order to receive the Prize. The delay or failure to provide a completed and Form W-9 upon request from the Sponsor will disqualify the Winner, and another individual will be randomly selected from the list of eligible participants as the Winner. The Winner may receive a Form 1099-MISC from the Sponsor for the calendar year in which the Prize was delivered to the Winner. If applicable, the Form 1099-MISC will be provided to the Winner in accordance with the Sponsor's normal course of businessThe Winner agrees to, and the Winner shall, defend, indemnify, and hold harmless the Sponsor and each of its shareholders and subsidiaries, together with each of its and their directors, officers, employees, and other agents from and against any and all actions, claims, costs, demands, expenses (including, but without limitation, actual attorneys’ fees and court costs), as well as from and against any fines, fees, interest, judgments, penalties, or settlements arising out of, relating to, or resulting from: (a) the Winner’s delay or failure to report any tax assessed, imposed, or levied on the Prize; and/or (b) the Winner’s delay or failure to pay any tax assessed, imposed, or levied on the Prize.

9. Rights Granted by You. By entering the Sweepstakes and to the fullest extent permitted by applicable law, you grant the Sponsor and each of its subsidiaries an irrevocable, non-exclusive, non-terminable, perpetual, royalty-free, and worldwide license to broadcast, distribute, edit, exploit, modify, print, post, publish, reproduce, share, and use: (a) your name, image and likeness; and (b) your social media handles and your posts on the same, regardless of the platform, in the Sponsor's or any of its subsidiaries’ advertising, marketing, and promotional materials. You do not have and shall not have any editorial rights with respect to any of the foregoing advertising, marketing, or promotional materials. You also acknowledge and agree the grant of rights in this Section 9 is not a condition precedent to your entry or participation in the Sweepstakes, but rather is a consequence of your decision to enter knowingly, voluntarily, and willingly into the Sweepstakes. If you object to the grant of rights in this Section 9, you must notify the Sponsor, in writing, within seven (7) calendar days of entering into the Sweepstakes.

10. Disclaimer of Representations and Warranties. THE SPONSOR MAKES NO REPRESENTATIONS AND OFFERS NO WARRANTIES OF ANY KIND OR NATURE WHATSOEVER REGARDING THE PRIZE, THE SWEEPSTAKES, NOR THESE SWEEPSTAKES RULES. THE SPONSOR DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND OR NATURE WHATSOEVER, WHETHER EXPRESSED OR IMPLIED, AND INCLUDING, BUT NOT LIMITED TO, NO WARRANTY OF COURSE DEALING, NO WARRANTY OF FITNESS FOR A PARTICULAR USE, AND NO WARRANTY OF MERCHANTABILITY. BOTH THE PRIZE AND THE SWEEPSTAKES ARE OFFERED "AS IS", “HOW IS” AND “WITH ALL FAULTS.” THE SPONSOR MAKES NO REPRESENTATION AND OFFERS NO WARRANTY THAT ENTRY INTO THE SPONSOR OR PARTICIPATION IN THE SWEEPSTAKES WILL BE DISRUPTION OR ERROR-FREE. YOU ACKNOWLEDGE AND AGREE THAT YOUR ABILITY TO ENTER THE SWEEPSTAKES MAY DEPEND ENTIRELY ON YOUR DEVICE'S ABILITY TO CONNECT TO THE INTERNET, WHETHER VIA A CELLULAR NETWORK, WIFI, OR OTHERWISE. YOU ALSO ACKNOWLEDGE AND AGREE YOUR DEVICE’S ABILITY OR INABILITY TO CONNECT TO THE INTERNET IS NOT WITHIN THE CONTROL OF THE SPONSOR, AND THE SPONSOR SHALL NOT BE LIABLE OR RESPONSIBLE FOR YOUR INABILITY NOR YOUR LIMITED ABILITY TO CONNECT TO THE INTERNET FOR ANY REASON.

11. Limitation of Liability. BY ENTERING THE SWEEPSTAKES, YOU AGREE THE SPONSOR SHALL NOT BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, EXEMPLARY, INCIDENTAL INDIRECT, PUNITIVE, OR SPECIAL DAMAGES UNDER ANY CIRCUMSTANCES NOR ANY LEGAL THEORY, EVEN IF SUCH DAMAGES WERE FORESEEABLE BY THE SPONSOR OR IF THE POSSIBILITY OF SUCH DAMAGES WAS MADE KNOWN TO THE SPONSOR IN ADVANCE BY YOU.

12. Indemnification. By entering the Sweepstakes, you agree to, and you shall, defend (with counsel acceptable to the Sponsor), indemnify, and hold harmless the Sponsor and each of its shareholders and subsidiaries, together with each of its and their directors, officers, employees, and other agents (each, an "Indemnified Party") from and against any and all causes of action, claims, costs, damages, deaths, expenses (including, but without limitation, actual attorneys' fees and court costs), injuries, illnesses, judgments, lawsuits, liabilities, losses, penalties and/or settlements of any kind or nature arising out of, relating to, or resulting from, whether alleged or proven: (a) an act or omission by you, including, but not limited to, your misuse, resale, storage, transportation, or use of the Prize; (b) a breach of these Sweepstakes Rules by you; (c) any defamatory, fraudulent, inaccurate, misleading, or untruthful statement made by you; (d) the transmission of any dangerous, illegal, or otherwise harmful content or material to the Sponsor by you, including, but without limitation, through the use of any ransomware, trojan horse, virus, or worm by you; (e) the violation of any intellectual property rights of a third-party by you; and/or (f) the violation of any applicable law, ordinance, regulation, or rule by you (each, an “Indemnified Claim”). An Indemnified Party shall have the sole and absolute right to control and to direct the defense of any Indemnified Claim. An Indemnified Claim against an Indemnified Party shall be defended at your sole cost and expense without reimbursement from an Indemnified Party. You shall not compromise, resolve, or settle an Indemnified Claim against an Indemnified Party without the prior written consent of an Indemnified Party, consent which may be conditioned or withheld in an Indemnified Party’s sole and absolute discretion.

13. Governing Law and Jurisdiction. The Sweepstakes and these Sweepstakes Rules shall be governed by the laws of the State of Alabama, but without regard for its choice of law or conflict of laws principles that may otherwise require the application of the law of another jurisdiction. By entering the Sweepstakes, you irrevocably consent to the personal jurisdiction of the courts for the State of Alabama. You also agree the federal and states courts situated in Lauderdale County, Alabama shall have exclusive jurisdiction over any claim, controversy, dispute, litigation, or other proceeding arising out of, relating to, or resulting from the Prize, the Sweepstakes, or these Sweepstakes Rules. You further agree to waive any claim or defense based on lack of personal jurisdiction or forum non conveniens in the federal and states courts situated in Lauderdale County, Alabama for any claim, controversy, dispute, litigation, or other proceeding arising out of, relating to, or resulting from the Prize, the Sweepstakes, or these Sweepstakes Rules. BY ENTERING THE SWEEPSTAKES, YOU AGREE TO RESOLVE ANY CLAIM, CONTROVERSY, DISPUTE, LITIGATION, OR OTHER PROCEEDING WITH THE SPONSOR ON AN INDIVIDUAL BASIS AND WITHOUT RESORT TO ANY FORM OF CLASS ACTION. YOU ALSO AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN OR TO PURSUE A CLASS ACTION AGAINST THE SPONSOR RELATING TO EITHER THE SWEEPSTAKES OR THESE SWEEPSTAKES RULES.

14. Privacy Policy. Your contact and other personal information used to enter the Sweepstakes is governed by and subject to the Company's Privacy Policy that can be found using the following link: https://tntfireworks.com/privacy (the "Company’s Privacy Policy"). The Company reserves the right to amend, change, modify, or update the Company’s Privacy Policy without prior notice to you. Any amendments, changes, modifications, or updates to the Company’s Privacy Policy are effective immediately upon publishing the same on: https://tntfireworks.com/privacy.

15. California Residents. If you are a resident of the State of California, your contact and other personal information is governed by and subject to the Company's Privacy Notice for California Residents (the "Company’s California Privacy Notice") that can be found using the following link: https://tntfireworks.com/ca-privacy. The Company reserves the right to amend, change, modify, or update the Company’s California Privacy Notice without prior notice to you. Any amendments, changes, modifications, or updates to the Company’s California Privacy Notice are effective immediately upon publishing the same on: https://tntfireworks.com/ca-privacy.

16. OFAC Compliance. By entering the Sweepstakes, you covenant, represent, and warrant to the Sponsor that you are not a blocked or restricted person under any executive order, including, but without limitation, that certain Executive Order Blocking Property and Prohibiting Transactions with Persons who Commit, Threaten to Commit or Support Terrorism from September 24th, 2001, or under any regulation or rule from the Office of Foreign Asset Control ("OFAC") within the United States Department of Treasury, including, but without limitation, not being a person named on OFAC's Specially Designated and Blocked Persons List.

17. Miscellaneous. If any provision(s), or any part of a provision, of these Sweepstakes Rules is (are) determined or held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, such provision(s) or part of a provision shall be deemed severable from these Sweepstakes Rules and the remaining provisions shall remain in effect and full force to the fullest permitted by applicable law. These Sweepstakes Rules are and shall be binding upon your and each of your administrators, executors, heirs, personal representatives, trustees, successors-and-assigns. These Sweepstakes Rules may not be amended or modified by you without the prior consent, expressed in writing (not an email), of the Sponsor. These Sweepstakes Rules may be amended, changed, modified, or updated by the Sponsor, within the sole and absolute discretion of the Sponsor without your consent and without prior notice to you. Any amendments, changes, modifications, or updates to these Sweepstakes Rules will be effective upon publishing the same on: https://rewards.tntfireworks.com/sweepstakes_rules. You may not assign or delegate all or any part of these Sweepstakes Rules without the prior consent, expressed in writing (not an email), of the Sponsor, consent which may conditioned or withheld in the sole and absolute discretion of the Sponsor. Any attempt by you to assign or delegate all or any part of these Sweepstakes Rules in violation of the precedent sentence shall be null and void. These Sweepstakes Rules, together with any policies, terms, or conditions incorporated into these Sweepstakes Rules, represent the entire agreement and understanding between the Sponsor and you regarding the Sweepstakes. There are no guarantees, promises, representations, or warranties from the Sponsor that are outside of these Sweepstakes Rules. These Sweepstakes Rules replace and supersede any and all prior rules, terms, and/or conditions governing or relating to the Sweepstakes. These Sweepstakes Rules shall survive the expiration or termination of the Sweepstakes.
